2Partner Mathematics Terms of Service

OVERVIEW
Welcome to 2Partner Mathematics Consulting (“2Partner”)! The terms “we”, “us” and “our” refer to 2Partner Mathematics. 2Partner Mathematics operates this online store and website, including all related information, content, features, tools, products, and services, to provide you (the customer) with a curated shopping experience (the “Services”). Our store is hosted on Shopify, which enables us to provide these Services to you.

The following terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use our Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability. By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. If you do not agree to these Terms of Service or our Privacy Policy, you should not use or access our Services.

Section 1 – Access and Account

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, and that you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services – including accessing or browsing our online store or purchasing any of the products or services we offer – you may be asked to provide certain information, such as your email address and billing, payment, and shipping information. You represent and warrant that all information you provide in our store is correct, current, and complete, and that you have all rights necessary to provide this information.

You are solely responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, or license your account to any other person.

Section 2 – Our Products and Services

We offer a range of educational products and services through our online store. Our products include both physical and digital versions of 2Partner’s proprietary mathematics curriculum materials, such as the 2Partner Small Group (“2PSG”) lesson sets, teacher guides, student workbooks, and related instructional content. These curriculum products may be provided in printed format or as digital downloads. Our services include professional training, consulting, coaching, and implementation support delivered either virtually or on-site, aimed at helping educators effectively use our curriculum materials. We will clearly describe each product or service offering on our site, including the format (physical or digital) and any significant details.

We have made every effort to provide an accurate representation of our products and services in our online store. However, please note that colors, formatting, or product appearance may differ from how they appear on your screen due to your device and display settings. We do not warrant that the appearance or quality of any product or service purchased by you will meet your expectations or exactly match its depiction on our site. All descriptions of products and services are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product or service at any time. We may also limit the quantities of any products or services that we offer to any person, household, or organization, on a case-by-case basis.

Section 3 – Orders and Bookings

When you place an order, you are making an offer to purchase the item(s) or service(s) in your cart. 2Partner Mathematics reserves the right to accept or decline your order for any reason at our discretion. Your order (or service booking) is not accepted until we provide an order confirmation. We must receive and successfully process your payment before an order is accepted and any products are shipped or services are scheduled. Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests once an order is accepted. In the event that we do not accept your order, or if we need to modify or cancel it, we will attempt to notify you using the email address, billing address, and/or phone number you provided at the time of order.

Your purchases are subject to our Refund Policy [LINK], which outlines the conditions for returns or exchanges of physical goods. You represent and warrant that your purchases are for your own personal or internal educational use, and not for commercial resale or export.

Training Services Scheduling and Cancellation: If you purchase any training, consulting, or coaching services (“Training Services”) from us, we will work with you to schedule the sessions. To reschedule or cancel a booked Training Service session, you must provide advance notice. Specifically:

  • Advance Rescheduling (More than 10 Business Days): If you request to reschedule a Training Service session more than ten (10) business days before the scheduled date, we will accommodate the change with no rescheduling fee, and will work in good faith to select a new date for the session.
  • Late Cancellation or Rescheduling (10 or Fewer Business Days): If you cancel or request to reschedule a session ten (10) or fewer business days before the scheduled date, we reserve the right to charge a cancellation or rescheduling fee. This fee may include any actual, nonrefundable travel expenses or other costs already incurred for an on-site session. We may also, at our discretion, treat the session as fulfilled (delivered) for billing purposes, meaning no refund will be given for a last-minute cancellation.
  • No-Show or Customer Cancellation: If a Training Service session cannot occur as scheduled due to your circumstances (for example, a last-minute school closure or your failure to attend a virtual session), the session will be considered a late cancellation and will be billed as if delivered. We will attempt to reschedule such a session only at our discretion and subject to availability.

These cancellation policies are necessary because of the preparation, scheduling, and resources allocated for Training Services. We appreciate your understanding and cooperation in providing sufficient notice for any changes.

Section 4 – Prices and Billing

All prices for products and services (and any applicable shipping fees or taxes) are as shown on our online store at the time you place your order, except in cases of obvious error. Prices, discounts, and promotions are subject to change without notice. The price charged for an item will be the price in effect at the time the order is placed, as reflected in your order confirmation email. Unless expressly stated otherwise, posted prices do not include applicable taxes, shipping and handling fees, customs duties, or import charges.

Prices available through our online store may differ from prices offered elsewhere (such as at physical locations or other websites). From time to time, we may offer promotions or special deals that are subject to separate terms and conditions. In the event of any conflict between the terms of a promotion and these Terms, the promotion terms will apply for that promotion.

You agree to provide current, complete, and accurate purchase and account information for all orders made through our store. You agree to promptly update your account information (including your email address and payment details, such as credit card numbers and expiration dates) so that we can complete your transactions and contact you as needed.

You represent and warrant that (i) any credit card or payment information you supply is true, correct, and complete; (ii) you are duly authorized to use the provided payment method for the purchase; (iii) charges incurred by you will be honored by your credit card company or payment provider; and (iv) you will pay all charges at the posted prices, including any shipping fees and applicable taxes.

Section 5 – Shipping and Delivery (Physical Products)

For physical curriculum products that require shipping, we will pack and ship your order to the address you provide. Any shipping or delivery dates we provide are estimates only and not guaranteed. While we do our best to meet these estimates, we are not liable for any shipping or delivery delays. Once we hand over the product to the shipping carrier, title and risk of loss for physical products transfer to you. We are not responsible for delays or loss caused by the carrier, customs processing, or events beyond our control.

If a shipment is returned to us due to an incorrect address or failure to pick up, we may contact you for an updated address and additional shipping payment, or we may issue a refund for the product at our discretion (less any shipping fees we incurred).

Section 6 – Intellectual Property and License Restrictions

Unless otherwise indicated, all content and materials available through our Services – including but not limited to text, lessons, curriculum content, graphics, images, logos, videos, audio clips, digital downloads, and software – are owned by 2Partner Mathematics or its affiliates or licensors, and are protected by U.S. and international copyright, trademark, patent, and other intellectual property laws. Our names, logos, product titles, and service names (including “2Partner” and “2PSG”) are trademarks of 2Partner Mathematics or its licensors. You may not use any such trademarks without our prior written permission. All rights not expressly granted to you in these Terms are reserved by 2Partner Mathematics.

These Terms permit you to access and use our Services and content for your personal, non-commercial use only. Except as expressly allowed by us, you must not reproduce, distribute, modify, create derivative works of, publicly display, perform, republish, download, store, or transmit any of the material on our website or obtained through our Services. No license or right under any copyright, trademark, patent, or other intellectual property of 2Partner Mathematics (or its licensors) is granted to you by implication or otherwise, except as explicitly provided in these Terms. Unauthorized use of the Services or content may violate intellectual property laws.

Curriculum License: When you purchase or access 2Partner’s curriculum products or training materials (collectively, “Curriculum Materials”), you are licensee of those materials, not an owner. All Curriculum Materials (whether in draft, evaluation, or final form) remain the sole and exclusive property of 2Partner Mathematics or its licensors at all times. Subject to your compliance with these Terms and payment of any applicable fees, 2Partner grants you a limited, personal, non-exclusive, non-transferable license to use the Curriculum Materials for your own personal or internal educational purposes. This means you may use the materials for yourself and, if you are an educator or organization, within your own classroom or educational program, but you do not obtain ownership of any intellectual property rights in the content.

Use Restrictions for Curriculum Materials: By purchasing or using any Curriculum Materials, you agree to the following license restrictions (in addition to the general use restrictions above):

  • No Unauthorized Distribution or Resale: You shall not sublicense, publish, sell, resell, rent, or otherwise distribute any Curriculum Materials to any third party, nor make them publicly available beyond your authorized personal or internal use. This includes prohibiting you from uploading our content to any public website or sharing it outside your immediate educational setting without our permission.
  • No Copying or Derivative Works: You shall not copy, scan, record, photograph, or reproduce any portion of the Curriculum Materials, except as reasonably necessary for your own use in implementing the curriculum within your classroom or organization. For example, printing a limited number of student workbook pages for use in your own class may be permissible, but making mass copies for broader distribution is not. Any copies that you are permitted to make must retain all original confidentiality and proprietary notices and will themselves be considered our Confidential Information subject to these Terms. You may not create derivative works that modify or translate the content for distribution to others without our prior consent.
  • Confidentiality and No Sharing: You must treat the Curriculum Materials as confidential and proprietary to 2Partner. You agree not to disclose, share, or give access to the curriculum content to any unauthorized person or entity. This means you should not post our lessons or guides on public forums or share them with other teachers or schools that have not purchased a license. If you are an organization, you may share the materials internally with your authorized staff for the sole purpose of your internal implementation, but you are responsible for ensuring those staff keep the materials confidential and use them only for your organization’s intended purpose.
  • No Removal of Notices: You shall not remove, alter, or obscure any copyright, trademark, or other proprietary notices that appear on or within the Curriculum Materials. All branding and notices must remain intact on any permitted copies or displays of the content.

Any use of the Curriculum Materials outside the scope of the above license (or otherwise in breach of these Terms) is strictly prohibited and will constitute a material breach of these Terms. We reserve all rights in and to our intellectual property not expressly granted to you. Your license to use Curriculum Materials will terminate automatically if you violate these Terms. In the event of termination of your license (for example, due to a refund, cancellation, or violation of terms), you must immediately cease using the Curriculum Materials and destroy or return any copies in your possession, unless we instruct you otherwise.

Section 7 – Optional Tools

We may provide you with access to third-party tools or features over which we neither monitor nor have control. You acknowledge that any access to such tools is provided “as is” and “as available” without any warranties, representations, or conditions of any kind and without any endorsement by us. We shall have no liability arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through the Services is entirely at your own risk and discretion. It is your responsibility to ensure that you review and approve the terms on which such tools are provided by the relevant third-party provider(s). In the future, we may also offer new features or services (including new tools and resources) through the website. Such new features or services will also be subject to these Terms of Service unless we state otherwise.

Section 8 – Third-Party Links

Certain content, products, or services available via our Services may include materials from third parties or links to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites. If you choose to access third-party links from our site, you do so at your own risk. Third-party links may direct you to websites or services that are not affiliated with us, and we are not liable for any harm or damages related to your access or use of those third-party sites or resources.

Please review carefully any third-party’s own policies and terms before engaging in any transaction. Complaints, claims, concerns, or questions regarding third-party products or services should be directed to the third party in question.

Section 9 – Relationship with Shopify

Note: This section reflects Shopify’s relationship with our store and should not be removed or modified.

2Partner Mathematics’s online store is hosted and powered by Shopify Inc., which provides us with the e-commerce platform to sell our products and services to you. However, any sales or purchases you make through this store are transactions solely between you and 2Partner Mathematics. By using our Services, you acknowledge and agree that Shopify is not responsible for any aspect of the sales process between you and 2Partner Mathematics. This includes, without limitation, any issues or liability arising from products or services you purchase from us. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising out of or related to your purchases and transactions with 2Partner Mathematics.

Section 10 – Privacy Policy

All personal information we collect through the Services is subject to our Privacy Policy [LINK]. By using the Services or making purchases, you consent to the collection and use of your information as described in that policy. Additionally, because our store is hosted by Shopify, any personal information necessary to facilitate your transaction may also be processed by Shopify in accordance with Shopify’s Privacy Policy. This can include information such as your contact details and payment information needed to process orders. Both 2Partner Mathematics and Shopify maintain commercially reasonable safeguards to protect personal information. For more details on how we and our partners collect, use, and protect your data, please review our Privacy Policy [LINK].

Note: Our curriculum store is intended for use by educators and other customers and does not involve the collection of any student personal data. We do not collect student names, student contact information, or any personally identifiable information about students through this online store. As such, regulations like FERPA and COPPA, which govern student data, are not applicable to the operation of this store. Please do not send or upload any student personal information when using our Services.

Section 11 – Feedback

If you submit, upload, or post any ideas, suggestions, feedback, reviews, proposals, plans, or other materials to us (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback in any medium. This license to us remains even if you stop using our Services. We may use your Feedback, for example, to improve our products and services or to promote our offerings, without any obligation to compensate you.

By submitting Feedback, you represent and warrant that: (i) you own or have the right to submit the Feedback; (ii) the Feedback does not violate any third-party rights and is not unlawful or abusive; and (iii) any “reviews” or endorsements you provide reflect your genuine opinion (and you will disclose if you received any incentive for a review, in accordance with applicable law).

We are under no obligation to maintain any Feedback in confidence, to pay compensation for any Feedback, or to respond to any Feedback. We reserve the right (but have no obligation) to monitor, edit, or remove any Feedback or content that we determine in our sole discretion violates these Terms or any applicable law.

Section 12 – Errors, Inaccuracies, and Omissions

Occasionally there may be information on our site or in the Services that contains typographical errors, inaccuracies, or omissions, including those that may relate to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. While we strive for accuracy, we are not responsible if any information is inaccurate or incomplete. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information in the Services or on any related website is found to be inaccurate at any time (including after you have submitted your order), without prior notice.

Section 13 – Prohibited Uses

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services or any content from the Services: (a) for any unlawful purpose, or to solicit others to perform or participate in any unlawful acts; (b) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (c) to infringe upon or violate our intellectual property rights or the rights of others; (d) to harass, abuse, insult, harm, defame, slander, intimidate, or discriminate against anyone; (e) to submit false or misleading information; (f) to upload or transmit viruses or any other malicious code that may affect the functionality or security of the Services; (g) to collect or track the personal information of others without consent; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape information from the Services; (i) for any obscene or immoral purpose; or (j) to interfere with or circumvent the security features of the Services, our website, other websites, or the Internet.

We reserve the right to terminate your use of the Services for violating any of the prohibited uses.

Section 14 – Termination

We may terminate or suspend your access to our Services (or any part thereof) at any time, without prior notice, if you breach any of these Terms or for any other reason in our sole discretion. In the event of termination, you will remain liable for any obligations incurred or amounts due up to and including the date of termination.

Any provisions of these Terms which by their nature should survive termination (such as Intellectual Property, License restrictions, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall continue in full force and effect after your access to the Services has been terminated.

Section 15 – Disclaimer of Warranties

The information, products, and services provided on or through our Services are provided “as is” and “as available”, without any representation, warranty, or condition of any kind, either express or implied. To the maximum extent permitted by law, we disclaim all warranties and conditions, express or implied, including but not limited to implied warranties of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any defects in the Services will be corrected.

Furthermore, we do not guarantee or warrant that the use of our curriculum products or Training Services will achieve any particular educational outcome or result. You acknowledge that the effectiveness of educational tools and training can depend on many factors outside our control, and we make no promise of specific improvements (for example, we do not guarantee improved test scores, student achievement gains, or other performance results from using our products or services). Any success stories or examples we share are illustrative only and not assurances of the results you will experience.

Your use of the Services (including any products or services delivered to you) is at your sole risk. All products and Services delivered to you through our store are provided for your use without any warranties of any kind, except as expressly stated by 2Partner Mathematics. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

Section 16 – Limitation of Liability

To the fullest extent permitted by law, in no case shall 2Partner Mathematics, our directors, officers, employees, affiliates, agents, contractors, suppliers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind arising from your use of the Services or any products procured via the Services. This includes, without limitation, any errors or omissions in any content, any loss or damage of any kind incurred as a result of the use of the Services or any product or content posted, transmitted, or otherwise made available via the Services, even if advised beforehand of the possibility of such damages. The foregoing limitation of liability applies regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise).

In addition, and to the extent permitted by law, if 2Partner Mathematics is found liable for any claim arising out of or relating to your use of the Services or purchase of any product or service, our total cumulative liability shall not exceed the amount you paid to 2Partner for the product or service in question. In other words, our maximum liability to you will be limited to the purchase price you paid for the item or service that gave rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Nothing in this Section is intended to exclude or limit any liability which cannot legally be limited or excluded. For example, this limitation of liability does not apply to liability resulting from our gross negligence or willful misconduct, or for death or personal injury caused by our acts or omissions to the extent that liability for such events cannot be excluded by law.

Section 17 – Indemnification

You agree to indemnify, defend, and hold harmless 2Partner Mathematics, Shopify, and our (and Shopify’s) affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, and employees, from and against any claim or demand (including reasonable attorneys’ fees) made by any third party arising out of your breach of these Terms of Service or any documents they incorporate by reference, or your violation of any law or the rights of a third party.

We will notify you promptly of any such third-party claim and provide you (at your expense) with reasonable cooperation in the defense of the claim. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations), and in such case, you agree to cooperate with our defense of that claim. You may not settle any indemnified claim without our prior written consent unless the settlement releases us of all liability and does not impose any obligations on us.

Section 18 – Severability

In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law. The unenforceable portion will be deemed severed from these Terms of Service, but such determination shall not affect the validity and enforceability of any other remaining provisions.

Section 19 – Waiver; Entire Agreement

The failure of 2Partner Mathematics to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site (or in respect of the Services) constitute the entire agreement and understanding between you and us, governing your use of the Services and superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including any prior versions of the Terms of Service). Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

Section 20 – Assignment

You may not assign or transfer any of your rights or obligations under these Terms of Service without our prior written consent. Any attempted assignment in violation of this provision is null and void. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, without notice or consent.

Section 21 – Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the state in which 2Partner Mathematics is headquartered, and by applicable federal laws of the United States. You agree that any dispute or claim arising from these Terms or your use of the Services will be decided solely by a court of competent jurisdiction in that state, and you consent to the jurisdiction of such courts. (If you are a governmental or public education entity, nothing in these Terms is intended as a waiver of any governmental immunities to which you may be entitled under applicable law.)

Section 22 – Headings

The section headings and titles in this agreement are included for convenience only and will not limit or otherwise affect the interpretation of these Terms.

Section 23 – Changes to Terms of Service

We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes on our website. It is your responsibility to check our website periodically for any changes. However, if we make material changes to these Terms, we will notify you by email or by posting a prominent notice on our site, as required by law. Changes to the Terms will become effective on the date they are posted (or as otherwise indicated in the notice). Your continued use of or access to the Services after any changes are posted constitutes acceptance of those changes.

Section 24 – Contact Information

Questions about these Terms of Service should be sent to us at kbroker@2partner.org.
